Aperto is seeking an in-house legal counsel for this newly created position. The position reports to the CFO. Responsibilities |
Primary responsibility: customer contracts /commercial activities |
|
- Review and draft domestic and international distribution, OEM, and sales agreements, and amendments subject to corporate policies.
- Review and draft nondisclosure agreements, teaming agreements, MOUs, and LOIs
- Assist the sales force with and/or lead direct customer contract negotiations
- Assist marketing in reviewing special customer programs and communications
- Work on a day-to-day basis with the Controller, the CFO and sales force to provide counseling on business and legal issues that arises during transactions.
- Review, draft and assist with or lead negotiations of contract manufacturing, product development partnerships, and other vendor agreements
- Develop and maintain contracts database
- Respond promptly to legal support requests from business development, sales, marketing, and product development team
- Work with the Controller on development of corporate policies

- Support the continuous improvement of standard form agreements and legal processes.
- Coordinate outside counsel’s IP legal work
- Support HR matters and coordinate stock option agreements
- Assist the CFO as needed with corporate transactions including equity and debt financing matters and documents
- Assist the CFO, as needed, with board and committee materials and communications
- Advise sales professionals and management, as well as finance and other company departments on legal issues and risks, complex deal structures, approval processes, company policies and procedures, intellectual property, and negotiation strategy.

Requirements |
- JD
- At least 2 - 3 years legal experience with a leading Silicon Valley law firm. In-house experience is a plus.
- Experience advising clients on and structuring commercial transactions
- Experience assisting sales personnel with direct customer contract negotiations
- Negotiating experience
- Basic understanding of revenue recognition guidelines
- Excellent organizational, analytical, communication, and writing skills and effective at multitasking
- Ability to interact with senior management internally and externally
- Hard working, well organized and able to manage numerous projects simultaneously under deadline pressure.
- Excellent interpersonal skills, dynamic and highly team-oriented.
- Flexibility and willingness to work on a broad variety of legal matters in a startup environment being able to adapt to changes and work with no administrative support
